Designer Agreement

This Designer Agreement ("Agreement") is entered into between Elisha McLaughlin Handmade Jewelry, operator of emjewelry.store (the "Platform"), and the independent designer accepted into the collective (the "Designer"). The Designer is an independent contractor — nothing in this Agreement creates an employment, agency or partnership relationship.

The Designer may publish pieces through the Designer Portal following the Platform's collection standard (title, description, category, tagged materials, photo requirements, exact weight in grams, and retail price). The Platform may curate, edit for consistency, or decline listings that do not meet the standard.

The Designer sets the retail price of each piece and may offer sale prices at their discretion. The registered weight determines the shipping label cost; the Designer is responsible for its accuracy.

When a piece sells, the buyer pays the piece price plus applicable sales tax (currently 7%) through PayPal. Sales tax is collected by the Platform and remitted to the corresponding tax authority; it is never part of the Designer's payout.

Worked example: a piece priced at $59 with a label band of $5.95 → the buyer pays $59 + tax; the Platform retains $5.90 (10%); the shipping label of $5.95 is deducted; the Designer receives $47.15.

The Platform retains 10% of the piece price (pre-tax) on every sale as its commission for hosting, marketing, payment processing and buyer service. The remaining 90% belongs to the Designer, subject only to the shipping label deduction described below.

Shipping is free for the buyer. On each sale the Platform purchases and pays the shipping label upfront, priced by the piece's registered weight plus standard packaging. The label cost is deducted from the Designer's payout.

The Platform emits the shipping order and provides the label; the Designer must print the label, pack the piece to the collection standard and hand it to the carrier within five (5) business days of the shipping order being emitted. Tracking is visible to the buyer and to the studio.

When the studio confirms the buyer received the piece, a protection window of 2 days begins. After that window, the payout is released automatically to the PayPal account registered by the Designer in the Portal.

Payouts ride PayPal's rails: the Designer links their own bank account, debit or credit card inside their PayPal account, and funds land there. The Platform never stores bank or card numbers. The Designer is solely responsible for keeping their payout email accurate; payouts sent to the registered account are deemed delivered.

The Designer is responsible for their own income taxes on amounts received. The Platform will provide a sales ledger (the "My sales" view) for reconciliation at any time.

A sold piece leaves the shop automatically. Within ten (10) days of a sale the Designer must choose in the Portal to either restock the piece (returning it to sale) or retire it (one-of-a-kind, permanently removed). Pieces left undecided remain off the shop.

If an order is refunded or subject to a payment dispute before the payout is released, no payout is due for that order, and any prepaid label cost for an unshipped order is not charged to the Designer. If a refund is granted after payout for reasons attributable to the piece (material defect, misdescription), the Platform may offset the amount against the Designer's future payouts.

The Designer retains full ownership of their designs and brand. The Designer grants the Platform a non-exclusive license to photograph, display and promote their listed pieces on the site, social networks, marketplaces (e.g. Amazon) and marketing materials, always with attribution to the Designer.

Either party may end this Agreement at any time with written notice (email suffices). Pending orders must still be fulfilled and pending payouts will still be released under the terms above. The Platform may suspend listings that break the collection standard or applicable law.

This Agreement is governed by the laws applicable at the Platform's seat of business (Roatán, Bay Islands, Honduras), without prejudice to mandatory consumer rules of the buyer's jurisdiction. Publishing a piece through the Designer Portal constitutes acceptance of this Agreement, including its current commission (10%), tax handling and shipping terms.
